GENERAL TERMS AND CONDITIONS FOR THE SUPPLY OF GOODS AND SERVICES

This Agreement is made between Premiere Klasse Limited, whose HQ address is at Premiere House, Edison Road, Basingstoke, Hampshire, RG21 6YH (“PK”, “We” or “Our”) and you, the Customer, identified in the corresponding Order (as defined below) referencing this Agreement (“Customer”, “You” or “Your”) (Each a “Party”, together the “Parties”).

Any quote provided by PK shall be valid for a period of 28 days from the date of the quote. After 28 days, You understand that PK may need to revisit and revise such quote. The Agreement contains the terms and conditions governing: the supply of hardware and accessories (the “Goods”) and any services concerning the installation of the Goods (the “Services”).

This Agreement is effective and Customer agrees to be bound by its terms when Customer either first receives delivery of the Goods or Services or payment of the deposit, as described further below in section 5 (the “Commencement Date”).

1. Definitions

“Documentation” means the technical publications relating to the Goods or Services published or provided to You by PK or may accompany the Goods directly from the manufacturer.

“Order” means an PK order describing the Goods and/ or Services purchased by You under this Agreement.

2. Goods

The total cost of Your order will be the price of the goods plus any applicable delivery charge and any applicable installation charge. All prices are inclusive of VAT.

PK reserves the right to pass on any duties, supplier cost changes and/or any surcharges that may become chargeable

2.1 Upon receipt of the required payment, PK, or an appointed third party, shall make one delivery of the Goods to You. One delivery within a 15 mile radius of Basingstoke shall be free of charge for a curbside drop with an option of a two man delivery to a ground floor room. PK shall inform You of the necessary cost of delivery either for outside of this radius or for a two man drop and should You select a two man drop PK can take no responsibility for any damages to products which need to be unpackaged or to your property eg if a wall is scraped.

Delivery shall be made within normal business days and hours (excluding bank and public holidays). All delivery dates and times shall be approximate only however, PK will using all reasonable endeavours deliver the Goods within thirty (30) days. PK shall inform you as soon as reasonably practicable in the event of a delay and shall, using its reasonable endeavours try to minimise any such delay, but You understand that PK cannot be held responsible for any Goods delayed by its manufacturers or suppliers.

You are advised to not commence any installation work until the Goods have been received and checked. PK will not be liable for any costs or other losses incurred by You, Your agents or any other third party due to an installation schedule committed to by You prior to the Goods being received and checked.

Should You require staged deliveries then additional deliveries are chargeable or, You/Your fitter may collect from PK providing You notify PK minimum 24 hours in advance.

2.2 All goods delivered will be signed for by You and will be photographed by PK for our records. Signature by You, Your agent, employee or representative shall be conclusive proof of delivery.

It is Your responsibility to ensure the products are stored safely. We recommend You inspect all goods when delivered and if any Goods are found to be damaged or faulty at the time of delivery, You shall notify PK within 24 hours and provide photographic evidence (if requested). We shall, at our sole discretion and as Your sole remedy either: (i) repair any damaged Goods; (ii) deliver any missing parts; or (iii) provide a replacement.

2.3 Except for damaged or faulty Goods under which section 6 of this Agreement shall apply, Goods may only be returned if they are returned to PK within 7 days of delivery in an unopened original packaging state and all returns will be subject to a 30% supplier restocking charge plus a £50.00 administration fee. You will be refunded any balance due to you once the manufacturer has received the return goods and authorised re-imbursement.

Except for damaged or faulty Goods, any Goods that You return to us are returned at Your own risk and You must bear the cost of returning those Goods.

2.4 You acknowledge and accept that all tiles and any bespoke orders, unless such Goods are damaged or faulty, including but not limited, to kitchen furniture, bathroom furniture, shower glass and worktops, placed pursuant to this Agreement are non-refundable and non-returnable.

2.5 In the event that PK provides You with any form of design as part of the supply of Goods, and where PK have not carried out a site survey PK has relied upon measurements supplied by You and therefore You are responsible for ensuring the correct configuration for specification and sizing of such design and You accept that the proposed design provided by PK is provided ‘as-is’ and PK accepts no further responsibility. In addition, You accept that PK shall have no responsibility for any Goods not suitable for installation by You or anyone else. PK recommends a qualified installer checks any proposals prior to any order being placed, paying particular attention to tile quantities. PK will calculate what it considers the correct quantity of tiles as per the design and uplift by 20% to allow for wastage. Any surplus tiles are non-refundable and non-returnable. For the avoidance of doubt, this section 2.5 will not relate to any Goods that are damaged or faulty as per section 2.2 or 2.4 above.

3. Services

3.1 Upon receipt of the required payment, PK agrees to commence provision to You of the Services as detailed on the Order and agrees that the Services shall be completed within a reasonable period of time.

3.2 With regards to Services only, PK warrants that the Services shall be provided in a professional and workmanlike manner. If, through no fault or delay by You, the Services do not conform to this warranty and You notify PK within ten (10) days of PK’s delivery of the Services, We may, at Our own option and as Your sole remedy, re-perform the non-conforming portions of the Services at no cost to You. This warranty is in addition to Your statutory rights.

3.3 Decoration. Unless otherwise stated the Services shall not include any decorating services. In the event, plastering is carried out by PK, the walls will be left ready for Your final preparation in order to decorate. For purposes of clarification, You may be required to fill in and/or rub down the walls and/or ceiling. Plastered ceilings and walls are not covered under our warranty against cracks appearing due to structural movement.

3.4 Existing goods. PK will not provide any guarantee or warranty regarding any existing goods of You, the Customer, that PK is required to remove or re-fit (including, but not limited to shower pumps, taps, vanity units and shower doors). If any items are damaged upon removal, PK shall not be held responsible or liable except in the case of negligence by PK.

3.5 Tiling. Unless tiles are procured as part of the Services, You agree to be responsible for the timely delivery, quantities and quality of such tiles. Charges for labour relating to tiling shall be based on ceramic tiling only. Any other type of tile, including, but not limited to, stone, marble and porcelain shall be subject to additional costs and time if not agreed in writing.

3.6 Unless otherwise agreed in writing, PK shall not be responsible for the removal of any wallpaper, decorating or refitting of carpets or any other form of flooring

4. Design, Drawings and Installation

4.1 All drawings and designs supplied by PK are for illustrative purposes only and Customer hereby acknowledges and understands that a technical site survey is recommended in order for PK to clarify and confirm measurements and specification of such drawings and designs.

4.2 Upon acceptance of a design and where PK provide the Services, PK will carry out a technical site survey and confirm any changes that may be needed in order to complete the Services. This may include, but shall not be limited to, adaptations to Your existing cold and hot water supplies or electric supplies during and after installation Services. PK agrees to use all reasonable endeavours to inform You of any such adaptations and You understand and agree that additional charges may be necessary. In any event, PK shall notify You of any such changes in advance and provide You with a revised quote and both parties shall agree in writing such changes, including any additional charges.

4.3 Upon payment of the deposit in accordance with section 5 below, PK shall arrange with You an installation date. These dates are estimates only and You acknowledge that the date may be subject to change due to circumstances beyond PK’s reasonable control. PK agrees to use all reasonable endeavours to give You as much notice as possible in the event of any changes.

4.4. The point at which PK confirms an installation date with You, You understand and agree that no further changes may be made to the original design without incurring additional costs and possibly a delay in the delivery and performance of the Services. PK requires You to acknowledge acceptance of the final design and installation plan a minimum of 6 weeks prior to installation commences.

4.5 You understand and acknowledge that all installation dates and completion dates are estimates only and completion may take longer than originally anticipated and You agree to use all reasonable endeavours to ensure uninterrupted access to the property, where possible, in order for PK to perform and complete the Services in a timely manner.

4.6 In respect of a Kitchen supply and dry fit only, included in the dry fit is fitting of cabinets, doors, plinths (once), cornice, pelmet, and integrated appliances (excluding plumbing and electrical connections). Before our fitter arrives on site all electrics and plumbing must be first fixed to correct locations, walls and ceilings must be plastered to a smooth flat finish, floors latexed to a smooth flat finish or tiled to a finished standard, site to be completely clean and cleared to enable the uninterrupted fit of the units with an additional working area available for storage, tools and cutting, and no other trades must be working in the same area at the same time as the dry fit is taking place.

If for any reason these requirements are not met or there are delays to the schedule we reserve the right to pull away from the project and reschedule at our next availability which will incur additional costs at full labour rate. If additional storage is required for the kitchen units it will be charged at £150.00 per week.

4.7 With the exception of any bespoke Goods ordered as specified under section 2.4 whereby cancellation shall require payment of 100% of the total fees due, PK requires a minimum of 4 weeks’ notice written cancellation for the supply of Goods and Services and payment of a 15% administration charge of the total fees due shall be invoiced. For any orders cancelled with less than 4 weeks written notice, You agree to pay a 30% administration charge of the total fees due. Any such fees shall be paid in accordance with section 5 below.

4.8 You acknowledge and understand that due to the nature of materials and production processes, product dimensions may vary within a tolerance of -/+ 10 mm.

5. Fees & Payment

Goods will not be despatched to you until you have made payment in full to include payment for the price of the Goods including VAT plus and charges for carriage and insurance.

5.1 You agree to pay in the following manner:

  • A) Goods only – 100% deposit with order.
  • B) Kitchen supply and dry fit only – 10% Design deposit plus balance on confirmation to proceed to order products and to confirm installation date.
  • C) Goods and Services
Materials:
  • – 10% of materials Design deposit
  • – 90% of materials on confirmation to proceed and order products
Labour:
  • – 20% deposit to activate technical survey and book a date in the diary
  • – 65% 4 weeks prior to installation to cover the materials
  • – Balance on completion

Except for deposit payments, all other fees are due and payable within five (5) days of the date of invoice. In the event You dispute any invoiced fees, You will provide written notice of the disputed amount within 5 days after date of invoice and timely pay any undisputed portion of the invoice. The Parties agree to co-operate in good faith to resolve any disputed invoice within 14 days of notice of dispute. Late payment will bear interest at the rate of 3% per annum above the base lending rate of the high street banks in England or the maximum rate allowed by law.

5.2 All prices are inclusive of taxes (including, but not limited to VAT, export and import fees and customs duties) for which You shall be responsible.

6. Warranty and Disclaimer

6.1 Subject to payment of the fees under this Agreement, warranty for Goods is as per manufacturer warranty and there is a 2 year warranty for Services. Products must be cared for in line with manufacturer guidelines which for most products means the avoidance of harsh chemicals and using only a mild detergent and a microfibre cloth.

6.2 This warranty shall not apply if the Goods are not used in accordance with this Agreement or the Documentation; or the Goods and/or Services have been modified or installed by anyone other than PK.

6.3 Any liability of PK (including its suppliers) for a breach of the above warranty shall be limited to repair or replacement of such Goods.

6.4 In the event of a supply of Goods only warranty claim pursuant to this section 6, any liability of PK shall be limited to the repair, replacement or refund of such Goods and PK shall have no liability for any associated installation or remedial repairs or costs.

6.5 The above warranty is in addition to, and does not affect, your statutory rights.

7. Changes and Termination

7.1 PK is not obligated to do any work not specified in the installation specification.

7.2 PK shall be entitled to terminate this Agreement and all works shall cease immediately in the event of failure to make payment in accordance with section 5 above however You shall remain liable for all costs due and payable up to the date of termination.

7.3 Ordering mistakes by You with regards to size, colour or specification, for example, will not constitute grounds for cancellation or termination by You.

8. Limitations of Liability

8.1 Nothing in this Agreement will limit or exclude PK’s liability for: (i) fraud or fraudulent misrepresentation; (ii) death or personal injury caused by its negligence; or (iii) gross negligence or wilful misconduct.

8.2 PK shall be responsible for loss or damage You suffer that is a foreseeable result of our breach of this Agreement or our negligence, but PK is not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by You and PK at the time of entering into this Agreement. Subject always to Clause 8.1 above, PK shall not be liable for: (i) loss of profits or revenue; (ii) loss or damage to business or reputation; (iii) loss of anticipated savings; (iv) loss of or damage to goodwill; (v) loss of use or destruction of data or information; or (vi) cost of procuring substitute goods or services, and for the purposes of this clause, the term “loss” includes partial loss or reductions in value as well as complete or total loss.

9. Use of Your Data

We may from time to time collect personal data supplied by You in the course of ordering, registering or using our Goods or Services, for example names and contact details (including contact names, geographic/billing addresses, email addresses and telephone numbers). PK shall process Your personal data in accordance with the PK Privacy Policy.

10. General.

10.1 Unless otherwise agreed You consent to PK erecting an advertising board at your property for the duration of the installation Services.

10.2 Prior to commencement of a delivery or an installation, You agree to make all reasonable efforts to clear a space for the Goods to be stored safely and securely and/or for a skip as advised by PK. Access will be required to various areas of your property during installation, please ensure these are kept clear from obstructions.

10.3 If PK are supplying goods only, you are welcome to invite your own fitter to discuss with PK the scope of the design and nature of the products prior to your installation commencing. PK do not offer technical support during the installation although should your fitter need our assistance, for an agreed consultancy fee we can send one of our project managers out to Your site.

10.4 If any part of this Agreement is held to be invalid or unenforceable under applicable law, it shall be omitted from the Agreement without invalidating the remainder of the Agreement.

10.5 You may not assign or transfer any or all of Your rights or obligations under this Agreement without PK’s prior written consent. 10.6 A waiver of any right under this Agreement or law is only effective if it is in writing and shall not be deemed to be a waiver of subsequent breach or default.

10.7 The Parties do not intend the Contract (Rights of Third Parties) Act 1999 to apply to this Agreement and its operation is hereby expressly excluded.

10.8 All notices given by one Party to the other shall be in writing and will be effective upon delivery when delivered via special delivery or when sent to You by email using the email on record for You.

10.9 Except for actions for non-payment, no action, regardless of form, arising under this Agreement may be brought by either Party more than 28 days after the Party knew or should have known of the claim.

10.10 PK shall comply with all applicable laws, regulations and sanctions relating to anti-bribery and anti-corruption.

10.11 In the event of a conflict between the terms of this Agreement and an Order, the terms of the Order shall prevail. This Agreement, together with any Order, contains the entire agreement between the Parties and supersedes and cancels any other agreements, whether oral or written.

10.12 All obligations to make payment shall survive termination or expiration of this Agreement for whatever reason.

10.13 This Agreement shall be governed by the laws of England and Wales and the Parties agree to submit to the exclusive jurisdiction of the English courts.
